TERMS OF USE

These Terms govern your use of the Line of Capital portal at portal.pointbreakfunding.com (the "Portal"), operated by 305 Ventures Corp d/b/a Point Break Funding ("we," "us"). By accessing the Portal you agree to these Terms. If you do not agree, do not use the Portal.

These Terms Are Not Your Funding Agreement

The Portal is a servicing and account-viewing tool. It does not create, modify, or replace any agreement between you and us. Your rights and obligations — including amounts owed, payment terms, and early payoff — are governed solely by the agreements you signed. If anything shown in the Portal conflicts with your signed agreements or our system of record, the signed agreements and our system of record control.

Eligibility and Accounts

  • The Portal is for business use only, by merchants we fund and by our authorized staff. It is invitation-only; accounts are issued by us.
  • You must be authorized to act for your business, and you must provide accurate information.
  • You are responsible for keeping your credentials confidential and for all activity under your login. Do not share accounts. Notify us immediately of any suspected unauthorized use.
  • We may suspend or terminate access at any time, including if your account with us closes or we suspect misuse.

Requests You Submit

Requests submitted through the Portal — including requests for an advance, a one-time payment, or a payoff figure — are requests only. They are not approved, binding, or effective until we accept them and, where applicable, you sign the related agreement. We may decline or modify any request. A request for an advance does not obligate us to fund.

We record the account used, the date and time, and technical details for each request in order to confirm authorization and resolve disputes. See our Privacy Policy.

Figures Shown Are Informational

Balances, amounts available, payoff quotes, and activity shown in the Portal are provided for convenience and may be preliminary, delayed, or subject to correction — for example, before a payment clears or is reconciled. Payoff figures are valid only as of the date shown and only if the payoff is completed and funds clear. We may correct any error in the Portal at any time.

Acceptable Use

You agree not to: access the Portal by any means other than the interface we provide; attempt to gain access to another merchant’s information; interfere with or disrupt the Portal; probe, scan, or test its security; introduce malicious code; scrape or harvest data; or use the Portal in violation of law.

Availability

We aim to keep the Portal available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of it, including for maintenance. The Portal is not a payment channel — payments are collected under your agreements, and Portal unavailability does not change your obligations.

Intellectual Property

The Portal, its content, and its design are owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Portal solely to view and manage your own account. Our names and logos may not be used without our written permission.

Disclaimers

The Portal is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will be error-free or that information displayed will be accurate at all times. Nothing in the Portal is legal, tax, or accounting advice.

Limitation of Liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising from your use of or inability to use the Portal. Our total liability relating to the Portal will not exceed one hundred dollars ($100). This does not limit obligations expressly set out in your signed agreements.

Indemnity

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Portal, your violation of these Terms, or unauthorized use of your credentials.

Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Disputes relating to the Portal will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to that jurisdiction and venue. Any dispute-resolution provision in your signed agreements controls over this section as to matters covered by those agreements.

Changes

We may update these Terms. If we make a material change we will update the date above and, where appropriate, notify you through the Portal or by email. Continued use after a change means you accept the updated Terms.
